The Do’s and Don’ts of Reverse Engineering: Guidelines For Ethical Competition and Reducing Legal Risk

Reverse engineering can be a lawful method for understanding technology and discovering information available through legitimate means. However, businesses must account for patent law, copyright law, trade-secret law, the Digital Millennium Copyright Act, and contractual restrictions before proceeding.
Conduct a Freedom-to-Operate Search
Before reverse engineering a product or system, it is prudent to conduct a Freedom-to-Operate search. An FTO analysis can identify patents that may cover the technology and help determine whether the planned activity or resulting product could create infringement risk.
Legal Framework Governing Reverse Engineering
Copyright Law and The DMCA
Copyright may protect the expression of software code, including its structure, sequence, and organization. Courts distinguish that protected expression from underlying functional ideas or processes. Copying code verbatim may infringe copyright, while limited intermediate copying for legitimate analysis or interoperability may qualify as fair use in certain circumstances.
Section 1201(f) of the Copyright Act permits limited circumvention for interoperability, but it does not create a blanket right to bypass technical protection measures or use the resulting information for unrelated purposes.
Trade-Secret Law
Reverse engineering a lawfully obtained product is generally recognized as a fair and honest means of discovering information. The analysis changes when the product or information was obtained through improper means, misrepresentation, theft, or breach of a duty of confidentiality.
Contract Law
End User License Agreements, nondisclosure agreements, and other contracts may expressly prohibit reverse engineering. Courts may enforce those provisions even where reverse engineering might otherwise be lawful. The governing contracts should therefore be reviewed before any technical work begins.
Guidelines to Reduce Legal Risk
Assess Patent Risk
Identify relevant patents and evaluate whether the intended implementation could fall within their claims.
Define The Applicable Legal Boundaries
Analyze copyright, trade-secret, DMCA, and contract issues based on the technology, access method, intended use, and jurisdiction.
Honor Contractual Obligations
Review EULAs, NDAs, employment agreements, and vendor terms. Do not proceed in a manner that violates enforceable restrictions without obtaining legal advice.
Document The Process
Maintain detailed records showing how products were acquired, what steps were taken, who performed the work, and how compliance was evaluated. Documentation can be critical if the activity is later challenged.
Consult Legal Counsel
Reverse-engineering risk is highly fact-specific. Experienced counsel can help structure the work, evaluate exceptions, and identify restrictions before resources are committed.
